TERMS AND CONDITIONS - POSTPAID
These terms and conditions (the “Terms”) apply when you use foodora’s payment deferral service (“Postpaid”) and constitute an appendix to the general terms and conditions for foodora’s platform (the “General Terms and Conditions”) which can be found here.
In case of discrepancy between these Terms and the General Terms and Conditions, these Terms shall prevail.
The definitions set out in the General Terms and Conditions shall also apply to these Terms unless otherwise specifically stated herein.
By accepting the Terms, you enter into an agreement with foodora in accordance with what is set out in section 1 below (the “Agreement”).
The Partner from whom you order Products is not a party to this Agreement.
1. POSTPAID
1.1 Description
Postpaid is a payment option developed by foodora to provide certain Customers (see definition below) with payment flexibility exclusively on the Platform.
Postpaid enables the Customers to defer payment of Orders for automatic payment at a later date.
Postpaid will only be available to certain eligible customers of the Platform (“Customer”, “You”).
Whether You are eligible to use Postpaid or not will be determined at foodora’s sole discretion at the time of purchase.
Furthermore, not all Orders and services on the Platform are payable via Postpaid.
1.2 Activation of Postpaid
Prior to using Postpaid as a payment option for the first time, You need to select the payment method with which You wish us to charge the deferred payment.
This can either be done at checkout or via the tab “Payments” in Your account.
Please note that once the payment method is selected, You will not be able to delete or change it until the full amount due at that time has been paid.
foodora reserves the right to check the validity of Your chosen payment method at its sole discretion.
We further reserve the right to discontinue acceptance of any particular payment method at any time, for any reason, as permissible by law.
You can continuously see Your amount due on Your account on the Platform via “Wallet” > “Postpaid“.
1.3 The Postpaid Agreement
Before completing an Order for the first time by using Postpaid as the payment option (a “Postpaid Order”), You have to consent to these Terms.
By clicking the “Complete purchase” button, You agree to the Terms and Your obligation to ensure sufficient funds and pay the full amount due on the date displayed in the Postpaid-section of Your account.
The Postpaid Orders placed during a calendar month are consolidated for a joint bill at a due date displayed in the Postpaid-section of Your account, whereas payment will be automatically deducted via the payment method designated by You.
If payment cannot be carried out via Your chosen payment method when payment is due, we will remind You via email, in-app notifications and SMS.
foodora reserves the right to retry payment on the payment method selected at regular intervals at our sole discretion.
foodora will however not impose any late payment fees, interest or other fees other than in the situation further described below.
Should payment remain unsuccessful, foodora reserves the right to transfer Your bill to a debt collection agency.
In case such a transfer is deemed necessary, foodora further reserves the right to have You bear any collection costs incurred as a result thereof.
foodora further reserves the right to discontinue Your ability to use Postpaid until all outstanding and transferred amounts due are paid.
Termination or closure of Your foodora account does not release You from any outstanding payment obligations incurred prior to termination.
Further, foodora does not offer installment plans under Postpaid and we reserve the right to accept or decline any transactions under Postpaid for any reason at our discretion.
We are not liable for any refusal to honor a transaction.
Should You have any questions about Your bill as regards to its total amount, when payment is due or if You have any issues regarding payment of Your bill, please contact our customer service via the contact details provided in section 9.
1.4 Accepted Use and foodora’s Right to Act
Postpaid is intended for private use only. You may not use Postpaid for any commercial, business and/or re-sale purposes.
When using Postpaid, You must always comply with all applicable laws as well as these Terms and the General Terms and Conditions.
You may not use Postpaid in a manner contrary to our, or any third party's, rights and interests.
You confirm that You will comply with all instructions and recommendations provided by us from time to time.
foodora reserves the right to act against any behaviour that does not comply with these Terms.
2. REFUNDS FOR POSTPAID ORDERS
Should You request a refund of a Postpaid Order, processing of Your refund will differ depending on whether the refund is initiated before or after You settle the bill in which the Postpaid Order is included.
Further limitations on refunds apply according to section 12 of the General Terms and Conditions.
2.1 Refund Initiated Before Settlement of Deferred Payments
If You initiate a refund for a Postpaid Order before having paid the total amount due for Your deferred payments, the outstanding amount for that Postpaid Order will be cancelled.
Hence, please note that a refund in this case will not result in any funds being paid out to You.
2.2 Refund Initiated After Settlement of Deferred Payments
If You initiate a refund for a Postpaid Order after having paid the total amount due for Your deferred payments, the refund amount will be issued to Your chosen payment method, or where applicable, to Your foodora wallet, in accordance with Your account settings and local rules as applicable.
foodora reserves the right to determine the refund method where required by law or operational constraints.
2.3 Processing Time
Refund processing times may vary depending on banks, payment providers, or wallet services. foodora does not control third-party processing timelines.
3. TERM AND TERMINATION
These Terms (as amended from time to time) represent the Agreement You have with us while using Postpaid.
However, in case we become aware of You having materially breached these Terms or the General Terms and Conditions or if You are late in payment, foodora reserves the right to terminate the Agreement with immediate effect and demand Your early payment of Your deferred payment.
4. AMENDMENTS
The Terms applicable is the version available on the Platform at the time of making a Postpaid Order.
foodora has the right to update or change these Terms at any time.
If Your consent to the change is necessary, we will inform You thereof.
If You do not approve of the changes, You have the right to immediately terminate the Agreement by making full payment of Your bill and ask for de-activation of Postpaid before the date on which the changes take effect.
5. NOTICE
To ensure that You receive information from foodora regarding Your payments, Postpaid and these Terms in a timely manner, You agree that foodora has the right to notify You by any of the following means: via the contact details provided by You when registering Your user account (email, text messages etc.), push notifications and in-app notifications.
Notifications sent according to the above will be deemed to have been delivered to You on the date it was sent by foodora.
If multiple notification methods are used simultaneously, the delivery time will be deemed to be the date and time of sending the first notification.
6. LIABILITY
To the extent permitted by law, foodora, its agents, representatives and service providers shall not be liable to You for any loss or damage including loss of business, revenue or profits, or any indirect or consequential loss whatsoever, arising out of or in connection with Your use of Postpaid.
7. PRIVACY STATEMENT
We process Your personal data in accordance with our Privacy Statement.
By accepting the Terms, You are aware that we may notify You through any of the means described in section 5.
8. GENERAL
These Terms are solely for Your and our benefit and are not intended for the benefit of any other person or entity, except for companies within our company group and representatives for us and/or the companies within our company group.
These Terms supersede any previous agreement between You and us and constitute the entire agreement between You and us relating to the usage of Postpaid.
Unless otherwise stated, Your and our rights and remedies under these Terms are cumulative and do not exclude any other right or remedy provided under applicable law.
All intellectual property rights in the contents of Postpaid are owned by foodora’s parent company, Delivery Hero SE, its affiliates, or its licensors and are protected by copyright, trademark, and other applicable laws.
You may not assign, license or transfer any rights granted to You hereunder or subcontract any of Your obligations.
If we do not insist that You perform any of Your obligations under these Terms, or if we do not enforce our rights against You, or if we are late in doing so, that will not mean that we have waived our rights against You or that You do not have to comply with those obligations.
However, if we do waive any rights, we will do so in writing, but that does not mean that we will automatically waive any other right related to any later actions taken by You.
In the event that any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law.
The unenforceable portion shall be deemed as excluded from these Terms, but such exclusion shall not affect the validity and enforceability of the remaining provisions.
